It is highly recommended to register as an LLC due to its popularity, protection of founders' assets, lack of capital restrictions, legal regulation of activity and relations between founders, and other advantages.
Brief information on LLC company registration:
The number of founders is required to be within a range of 1 to 100.
The LLC can be established by any individual or legal entity, including foreigners.
The authorized capital can range from a minimum of 1 hryvnia to an unlimited maximum. The founders' responsibility is limited to their contribution to the authorized capital amount.
A limited liability company (LLC) is a prevalent form of doing business, making it a top choice for small, medium, and even large businesses when registering.
To register a company, selecting a
unique name is crucial since registration is impossible if a preexisting organization bears the same name in the register. Given that there are over a million organizations already registered, selecting a name can be challenging.
When choosing a name, consider the following guidelines:
Only Ukrainian alphabet letters are acceptable in the name, and when verifying
uniqueness, the company's legal form is considered. For instance: Private enterprise "SPHERE" and Limited Liability Company "SPHERE" are distinguishable names. If "SPHERE" is registered only as a PE, LLC "SPHERE" can still be registered.
The general requirements for writing the name should be followed. The name can incorporate punctuation marks such as dashes and commas to achieve similarity, for instance, "SPHERE PLUS", "SPHERE-PLUS", "SPHERE, PLUS" - all of which are unique names. Note that adding the word "coffee" will not distinguish the name.
When registering a company, it is advisable to choose a unique name with
at least two words.
For your phone number, a valid landline (city) number is preferred to be entered into the state register. This allows all government agencies, tax, and pension funds to easily reach you if they have any inquiries. If you are able to respond promptly, it can aid in quick problem resolution. However, if the phone is faulty or hard to reach, government agencies, such as the tax office, may resort to imposing financial sanctions, adding your name to a wanted list, or bringing in the tax police or legal action if they cannot communicate with you.
It is advised not to provide a mobile phone number, as officials may not be authorized to contact you from their work phone, and using personal phones can be costly.
It is possible to create a stamp with English text,
but the name will remain in Ukrainian within a circle.
Registering a company does not allow for any language other than Ukrainian to be displayed on the title of the charter.
The name on the title page of the charter must be in Ukrainian, using only letters from that alphabet. However, the name in English or another language can be used within the text of the charter.
Can a charter be registered in Russian or English? No, it is not possible.
However, the articles of association can be registered in two languages, one of which must be Ukrainian. For instance, Ukrainian and Russian or Ukrainian and English, etc.

When considering the registration's timing, note that if you apply to become a VAT payer before the 20th day of the current month, you will be registered as a VAT payer from the 1st day of the following month. However, if you apply after the 20th day of the current month, you will be registered from the 1st day of the month that comes after the following month.
How many types of activities can be registered in the Unified State Register?
There are no legal limitations, but some technical constraints exist. For instance, an extract from the statistics can only include a maximum of six primary activity types according to the 2012 NACE.
If your LLC plans to engage in more than six types of activities, that is not a problem. The USR and statistical extract only require registration of the LLC's main activities, and your LLC may engage in one or two dozen other non-main activities that are not included in the register. This will not be considered a violation because registering activities is only for notification purposes, not as a permit.
