Ready-Made Companies in Ukraine: LLCs With and Without VAT

Why buy a ready-made company in Ukraine

  • Start with VAT from day one. Registering a brand new LLC as a VAT payer takes time and is not guaranteed. A ready-made company that already holds VAT status lets you invoice with VAT immediately.
  • An earlier incorporation date. Some tenders, public procurement procedures and partner contracts require the company to have existed for at least a year. A ready-made company satisfies that condition.
  • Faster launch. The transfer takes 3-5 days. Incorporating a new LLC from scratch takes no less time, and without the VAT status.
  • Activity codes can be adjusted. Ready-made companies already have basic KVED activity codes. During the transfer we can change or add activity codes to match your business, with no separate fee for that step.

An LLC with VAT: what you are actually buying

VAT status in Ukraine belongs to the legal entity, not to its owner. When the participants and the director change, the company stays on the VAT payers register, so there is nothing to re-register.

This is the practical difference from incorporating a new company. A new LLC may apply for voluntary VAT registration, but the tax authority can refuse, and refusals do happen: over the registered address, over insufficient evidence of real activity, over formal defects in the application. Mandatory registration only kicks in after UAH 1 million of taxable operations over the previous 12 months. A new business therefore either waits for turnover or takes the risk of a refusal.

Our companies obtained VAT status in the ordinary way, with tax returns filed for the relevant periods. The date the status was granted is visible in the catalogue before you contact us, and the extract from the VAT payers register comes with the document package.

Companies without VAT are not always cheaper. Some of them cost more precisely because they were incorporated earlier. Both options are in stock, and the choice depends on what matters more to you: the tax status or the age of the company.

Do you really need a company with turnover and trading history

This is the most common question and the biggest misconception on the market. Buyers look for a company "with turnover" in order to look more established in front of a bank, a customer or a tender committee. Such companies usually cost several times more than a clean one. Before paying that premium, it is worth knowing what you are paying for.

Together with the turnover, the buyer inherits the company's entire past, and not all of it is visible from the outside.

  • Tax debt and additional assessments. Any debt stays with the company, not with the former owner. An audit of earlier periods concerns the company as well. Once the deal is closed, the seller is out of reach.
  • Past counterparties. If any earlier counterparty is later classified as risky by the tax authority, that reflects on your company's tax record. You did not choose those transactions, but you inherit them.
  • Criminal exposure. Article 205-1 of the Criminal Code of Ukraine penalises forgery of documents submitted for state registration. If the company was originally set up through a straw person, that history stays attached to it.
  • The bank starts from zero. After a change of ownership the bank re-runs its client due diligence. Accounts of companies with an unclear past are closed far more often than accounts of clean new companies.

Attorney's note: in the large majority of cases what a buyer actually needs is not turnover but two specific things, active VAT status and an earlier incorporation date. A clean company with no prior activity delivers both, and delivers them without inherited exposure. Turnover genuinely matters only where a customer explicitly requires proven experience of performing comparable contracts, and that is a requirement about track record, not about a figure in a tax return.

How the purchase works

  1. You choose a company from the list. Or tell us the activity code or district you need, and we will select a suitable option.
  2. You provide documents. Passports and Ukrainian tax numbers of the new participants and the new director. For a foreign participant, documents must be apostilled or legalised and translated into Ukrainian.
  3. You confirm the registered address. An address is mandatory: either your own or ours at UAH 4,500 per year.
  4. We prepare and file the documents. First the act of transfer of the interest and registration of the new participants, then the participant's resolution and registration of the director, the beneficial owners and any other amendments. These are two separate registration actions, and we handle both.
  5. You receive the full package. Register extract, charter, resolutions, transfer acts, VAT register extract, copies of tax returns. A company seal if you ordered one.

Attorney's note: a change of company name, registered address or activity codes is best folded into the second registration action, together with the change of director. See the cost section below.

Cost of the transfer

Advertisements normally quote only the price of the company itself, which is why figures like "from UAH 2,500" look attractive. On top of the company price come two registration actions: the notary and the state registrar.

Quoting a single figure in advance would be inaccurate. The amount changes with who becomes the participant, what documents they hold and whether they sign in person. The price of the company itself is not included in these tables. It is shown separately for each option in the catalogue.

Base scenario: one new participant, a Ukrainian citizen holding an ID card, and one new director, both signing in person. Transferring a ready-made LLC is not one procedure but two separate registration actions in the Unified State Register.

Action 1. Change of participants

The current participant transfers the interest in the charter capital to the new one under an act of transfer of corporate rights with notarised signatures. The state registrar records the new participant in the register.

Action 2. Change of director and beneficial owners

The new participant adopts a resolution appointing the director, and the details of the ultimate beneficial owners are filed at the same time. The same action can also cover a change of company name, a change of registered address and the addition or removal of activity codes, with no separate service fee and no second registrar's fee.

Of that EUR 240, our own fee is EUR 80. The remaining EUR 160 is the notary's tariff and the state registrar's charges, which you pay whoever you buy the company from. The gap between an offer "from UAH 2,500" and an offer "from UAH 5,000" therefore looks rather different in the final total than it does in the advertisement.

Notarial acts require a certified interpreter to be present if the signatory does not speak Ukrainian. Interpreter services are paid separately.

About the registered address. An address is required either way: you either provide your own or buy ours at EUR 120 per year with mail handling. The address at which the company is registered at the time of sale does not stay with it after the transfer.

Prices in euro are converted at a fixed internal rate and are indicative of the hryvnia amount, which is the amount actually invoiced. The hryvnia price prevails.

Frequently asked questions

How is a Ukrainian LLC actually sold?
Legally this is not a sale of a business but a transfer of a participatory interest in the charter capital. The current participant transfers the interest under a notarised act, then the new participant adopts a resolution appointing the director and the beneficial ownership details are filed. The state registrar records the changes in two separate registration actions. The whole procedure takes 3-5 business days.

Why buy a ready-made company instead of registering a new one?
If you need VAT status immediately, or a company incorporated more than a year ago, registering from scratch will not solve that quickly. A ready-made company covers both needs in 3-5 days.

Does the company have any debts or tax arrears?
No. Every company on our list is checked before sale. They carried out no real business activity and have no debts, seizures or pending court proceedings.

Does VAT status survive the change of owner?
Yes. The status belongs to the legal entity rather than to the participant, so a change of participants and director does not terminate it. No re-registration is required.

Will VAT invoices be blocked after the transfer?
In practice the risk is minimal. After a change of director and owner the taxpayer data behind the monitoring system is updated, and in some cases it is worth filing a taxpayer data table listing the activity codes and planned operations. For a company with no prior activity this is a routine step rather than a problem. We explain the procedure when the company is handed over.

Can a foreign national or a foreign company buy a Ukrainian LLC?
Yes. A foreign individual or a foreign legal entity may hold 100% of a Ukrainian LLC. The documents must be properly executed, apostilled or legalised where required, and translated into Ukrainian. See the page on Company Registration Documents for details.

Can the purchase be completed remotely?
Yes. If the new participant and director cannot attend in person, the transaction is handled under a notarised power of attorney. For participants abroad an apostille and a translation are required.

Does the new director have to appear before a notary?
As a rule the new director and the new participants sign in person. If a participant cannot attend, we work under a notarised power of attorney. We also coordinate signing with the current owners and arrange the notarial transfer of the interest.

Can the activity codes or the company name be changed during the purchase?
Yes. Activity codes, the company name and the registered address can all be changed within the second registration action, together with the appointment of the director. Filed that way, they carry no separate service fee and no second registrar's fee.

How long does the transfer take?
Typically 3-5 business days once all documents are prepared and the notary fees and the registrar's charges are paid.
