Notarial acts require a certified interpreter to be present if the signatory does not speak Ukrainian. Interpreter services are paid separately.
Prices in euro are converted at a fixed internal rate and are indicative of the hryvnia amount, which is the amount actually invoiced. The hryvnia price prevails.
What the notary certifies depends on the type of articles you choose. With model articles it is the incorporation decision (minutes). With your own articles on paper it is two counterparts of the articles. The fee is the same either way.
A foreign founder's passport always requires a notarised Ukrainian translation together with the copy, whatever the format of the document — an ID card does not exempt you. The exemption applies only to Ukrainian founders: with a Ukrainian ID card nothing needs to be certified, and only the old paper passport booklet requires a notarised copy.

Founder is a foreign individual or a foreign company
This is a different service with a different price: from EUR 200 if the founder is a foreign individual, and from EUR 270 if the founder is a foreign company. The difference comes from the preparatory steps: a Ukrainian tax number, notarised translation of the passport, apostille or consular legalisation of a foreign company's documents, and a power of attorney for remote registration.

Documents required
Individual founders who are Ukrainian residents:
- Passport or a notarised copy of the passport, depending on how the documents are signed
- Ukrainian tax identification number
- Notarised power of attorney if the documents are signed by a representative
Legal entities resident in Ukraine:
- Extract from the Unified State Register
- Current version of the articles of association
- Decision or order appointing the director
- Notarised power of attorney for a representative if the director cannot appear before the notary in person

How LLC registration works
- Initial discussion. We clarify the business structure, the number of founders and how the company will operate.
- Selection of activity codes and tax system. We choose the registration parameters so that you do not need immediate changes after the company is created.
- Document preparation. We prepare the articles of association, founder's decision or founders' minutes.
- Filing with the state registrar. We file the documents with the state registrar and obtain the extract after registration is completed.
- Tax registrations and start of operations. If VAT or single tax is selected, we file the applications and obtain extracts from the relevant registers. We explain bank account opening, qualified electronic signature and first reporting.
LLC at a glance
A limited liability company is the most common business structure in Ukraine. Compared with a sole proprietorship, an LLC is better suited for work with partners, investors, larger counterparties, tenders and contracts with higher financial risk. Unlike a joint-stock company, an LLC is simpler and less expensive to maintain, so for most small and medium-sized businesses it is a practical option: more formal than a sole proprietorship, but without the complex structure of a joint-stock company.
Three key points:
- Founders: from 1 participant, with no upper limit. Both individuals and legal entities may be founders, including foreign nationals and non-resident companies
- Share capital: minimum share capital is UAH 1; there is no maximum
- Liability: limited, each founder's liability is capped at the amount of their contribution to share capital rather than their personal assets
Choosing a company name
The name must be unique in the Unified State Register, which already contains more than one million entries, so a name check is a mandatory step before document preparation begins. The name must be written in Ukrainian script. The legal form is taken into account during the check: LLC "Sfera" and PrJSC "Sfera" are treated as different names. Punctuation marks such as hyphens and commas are allowed and create additional variations. We verify the proposed name before starting work on the documents.
Remote registration if the founder is abroad
The founder does not need to travel to Kyiv in person. For remote registration, a notarised power of attorney in favour of our representative is required. This can be prepared at a notary's office in the founder's current location. If the power of attorney is issued abroad, an apostille and a translation into Ukrainian are also needed.

Frequently asked questions
Can an LLC be registered remotely if the founder is currently outside Ukraine?
Yes. A notarised power of attorney issued by a notary in the founder's current location is required. For powers of attorney issued abroad, an apostille and a translation into Ukrainian are also needed. We provide a sample power of attorney.
If one of the founders is a foreign national, when does the passport need to be translated and notarised?
If the foreign founder is in Ukraine, a notarised Ukrainian translation of the passport can be prepared before signing or on the day of signing at the notary's office. If the founder is abroad, they arrange a notarised copy of the passport in their country of stay and send it to us for document preparation. Documents issued abroad may require apostille or legalisation and translation into Ukrainian.
How many LLCs can one founder open?
There is no limit. One individual or legal entity can be a founder of any number of LLCs at the same time.
Is it necessary to close a sole proprietorship (FOP) when opening an LLC?
No. An existing sole proprietorship has no effect on LLC registration. Both structures can exist at the same time.
Can an LLC be registered at a home address?
Yes, this is lawful. But the consequences should be considered: official correspondence and enquiries from regulatory authorities will be sent to that address, and some counterparties may view a residential address as less professional. The home address will also be linked to the company's activity in the state register. If you do not want to mix your residence and business address, it is safer to use a separate registered legal address.
What does full LLC registration cost, including a legal address?
Base registration costs EUR 110. A registered legal address with postal service for one year costs from EUR 120. A qualified electronic signature (QES) is obtained separately from an accredited provider, and the price depends on the provider you choose. It is not included in our fee. We confirm the exact total after reviewing your situation and the selected additional options.
Do you assist with obtaining a licence after registration?
Yes. After LLC registration we can support the licensing process for medical practice, construction and other regulated activities. The cost and time frame depend on the specific licence required.

I would like to open a LLC in Kiev with one owner, without headquarters at the moment focused on energy storage solutions. Could you please tell me if it is possible to do that and what are the cost involved.

Two things in your message need a closer look.
You wrote that you have no headquarters at the moment. A company cannot be registered without an address in Ukraine, because the registrar enters that address in the register and official correspondence goes there. This does not mean renting an office. A registered address with postal handling is enough, and it is in the table above at EUR 120 for a year.
Energy storage is the bigger question. If you plan to import, install or sell equipment, that is ordinary business activity and needs no licence. If you plan to operate storage connected to the grid and sell that service, it is a licensed activity, and the licence is a separate procedure that takes considerably longer than the registration itself. Which of the two do you have in mind? The answer changes the timeline.
On cost: registration starts at EUR 110, notarisation from EUR 30, the registered address EUR 120. Your passport will also need a notarised Ukrainian translation. Euro figures are indicative, invoicing is in hryvnia.
