Unfortunately, the liquidation of any legal entity in our country the process is very complicated, long and painful.
According to the current legislation of Ukraine, the basis for the liquidation of a legal entity is:
- the decision of the founders or the owner of the company;
- the decision of the court on the invalidation of the state registration of a legal entity due to violations committed at its creation or in other cases provided by law;
- the decision of the economic court in cases of recognition of the legal entity as bankrupt.
There are other ways of liquidation, however, they are not quite "clean" and legal. The most common method is re-registration on other persons, as a rule, without a definite place of residence. Despite the fact that this is the fastest way to get rid of a legal entity, unfortunately, it is not the most reliable. In fact, your organization is not liquidated, and various sanctions can be applied to it, it can be checked by various controlling bodies.
Another way of liquidation is joining. It means joining another legal entity with the transfer to it of all rights and obligations. From a legal point of view, the organization that joins is liquidated. But in fact, all rights and obligations (including hidden problems) are transferred to the new company.
To date, the most acceptable methods of liquidation are liquidation by decision of the owner and bankruptcy.
