POWER OF ATTORNEY
City of Kyiv, twenty-sixth day of April, two thousand four
Limited Liability Company [name] (hereinafter referred to as the COMPANY), having its registered office at Kyiv [address], registered in the Unified State Register of Legal Entities, Individual Entrepreneurs and Public Organizations, with company identification number ___________, acting through its director [full name of citizen A.], who resides in Kyiv [address], hereby authorises [full name of citizen B.], who resides in Korosten, Zhytomyr region [address], to purchase, on the terms most favourable to the COMPANY, but at a price not exceeding UAH 450,000 (four hundred and fifty thousand) including VAT, a share in the single property complex [name] located at [address], Dnipro.
For this purpose, the representative is authorised, in particular, to:
- represent the interests of the COMPANY before a notary, at CNAP, at BTI, before the state registrar of rights to immovable property and their encumbrances, in the State Register of Rights to Immovable Property (DRRP), before executive bodies of local councils, tax authorities, banks and other institutions and organisations needed to conclude and perform the sale and purchase agreement;
- submit and receive all documents needed for the sale and purchase agreement, including applications, extracts, certificates, technical and title documents, draft agreements, acts, receipts, approvals and other papers;
- sign, on behalf of the COMPANY, sale and purchase agreements, preliminary agreements, handover acts, applications, receipts and other documents where necessary;
- negotiate, within the powers granted, the price and other essential terms of the sale and purchase agreement, and agree the payment procedure and timing;
- pay on behalf of the COMPANY any state duty, administrative, registration, notarial and other mandatory payments if required by the agreement or by law, as well as any payments connected with the acquisition of the share in the single property complex;
- carry out actions related to the state registration of ownership rights to the acquired share in the single property complex, submit and receive registration documents, extracts and confirmations of registration;
- receive documents confirming the registration of ownership rights and any other documents relating to the acquisition of ownership of the purchased share;
- represent the interests of the COMPANY before any other authorities, institutions and organisations, regardless of form of ownership or subordination, where this is necessary for the performance of this power of attorney;
- perform any other legally significant actions connected with this power of attorney that are necessary for the full performance of the mandate.
This power of attorney is valid until the twenty-sixth day of May, two thousand twenty-seven, without the right to delegate powers to other persons.
The content of Articles 244-250 of the Civil Code of Ukraine, as well as the legislation on the state registration of rights to immovable property, the activities of state registrars of rights to immovable property and their encumbrances, and the Unified State Register of Legal Entities, Individual Entrepreneurs and Public Organizations, has been explained to me by a notary.
