Below is a working sample of a manufacturing base sale and purchase agreement. For this type of property, the notary should check the title deed, technical passport, list of buildings and structures, the State Register of Rights to Immovable Property and Their Encumbrances, and the cadastral number of the land plot together with any related restrictions.

In this sample, the Buyer is a limited liability company acting through its Director under the charter and the general meeting resolution. If the property is jointly owned by spouses, a notarized consent of the other spouse is required. Taxes, fees, and notarial costs should be checked on the date of notarization.

Citizen of Ukraine [Seller's full name], taxpayer registration number [number], passport or ID card [details], residing at [address], on the one side, and Limited Liability Company [name], EDRPOU code [number], registered address [address], represented by its Director [Director's full name], acting under the charter and the resolution of the general meeting of participants, on the other side, hereinafter together referred to as the Parties, have entered into this Agreement as follows:

  1. The Seller sells, and the Buyer purchases, the manufacturing base located at [address], including the buildings and structures listed in the technical documentation and title documents.
  2. The Seller's title to the manufacturing base is confirmed by [title deed name and details]. Information about the title, encumbrances, and registration number of the property is recorded in the State Register of Rights to Immovable Property and Their Encumbrances.
  3. The object includes only the buildings and structures shown in the technical passport and title documents. Information about the land plot is stated separately: cadastral number, area, designated use, legal status, servitudes, lease, or other proprietary rights. If title to the land plot is not registered separately, the Parties take Articles 377 of the Civil Code of Ukraine and 120 of the Land Code of Ukraine into account.
  4. The sale price is UAH __. Payment is made by [cash / non-cash / bank transfer] on the day of notarization of the Agreement or within another period agreed by the Parties, provided this does not conflict with the law.
  5. The transfer of the object is carried out under a handover act together with the technical and other documentation on the day of notarization of the Agreement or on another day agreed by the Parties.
  6. The Buyer's ownership of the manufacturing base arises from the moment the ownership right is registered after notarization of this Agreement.
  7. The Seller confirms that the object has not been sold to anyone else, gifted, otherwise alienated, pledged, mortgaged, placed under arrest, tax lien, or other encumbrance, is not the subject of a court dispute, and does not involve any third-party rights. There are no hidden defects known to the Seller and not disclosed to the Buyer. If any servitudes or other restrictions are established for the land plot or the object, the Seller has informed the Buyer about them.
  8. If the manufacturing base is the spouses' joint marital property, this Agreement is accompanied by the notarized consent of the other spouse. If the property is the Seller's personal private property, such consent is not required.
  9. The Buyer confirms that the object has been inspected, the documents have been reviewed, there are no claims regarding the condition of the property or the contents of the documents, and the Buyer is aware of the rules governing the transfer of rights to the land plot and any land servitudes, if they are established.
  10. Taxes, fees, notarial costs, and other mandatory payments are borne by the Parties in accordance with the current legislation of Ukraine on the date of notarization of this Agreement.
  11. The Parties confirm that they act within their powers, understand the content of this Agreement, enter into it without coercion, without concealing material facts, and with the intention that real legal consequences arise.
  12. The Parties are familiar with Articles 182, 334, 377, 655, and 657 of the Civil Code of Ukraine, Article 120 of the Land Code of Ukraine, and the Law of Ukraine "On State Registration of Rights to Immovable Property and Their Encumbrances".
  13. The Parties understand the content of this Agreement and have no unresolved questions.
  14. This Agreement is executed in two copies of equal legal force: one is kept in the notary's file, and the second is issued to the Buyer.
