Sell, transfer or liquidate a Ukrainian LLC: three routes and what each one costs

You hold a registered Ukrainian LLC (TOV) you no longer need. Dormant or active, VAT-registered or not, new or with a track record. There are three legal ways out. We handle all three and tell you plainly which one fits your case. The registry check of the company is free, before any decision.

Handing over for resale: how it works

  1. You send the EDRPOU code. We run a free registry check, 1-2 business days.
  2. We tell you plainly whether the company is sellable and what its particulars are.
  3. You issue a notarised power of attorney to a Yurincom representative to sell the share and sign the documents. We agree the resale period.
  4. We prepare the company: paid-up share capital, current bookkeeping, document pack.
  5. We list an anonymised offer in the catalogue. No name, no code, no surnames.
  6. We find a buyer, vet them, and formalise the transfer of rights from you to them: resolution, notary, state registrar, handover act.
  7. You receive the complete set of transfer documents with the date of the State Register entry.

Yurincom never becomes a participant in your company. Rights pass from you to the buyer directly; we only handle the process.

Which companies we accept

Dormant, VAT-registered or not, with a track record and turnover, with a cancelled VAT registration, with past changes of ownership. Particulars are not a refusal: we show them to the buyer as they are, and they affect the price and the time to sell. Active court proceedings or termination proceedings are discussed case by case.

What we check

The State Register, court cases, enforcement proceedings, bankruptcy, encumbrances, VAT status, financial statements, history of changes. The buyer sees the results in the company card, including what we could not verify.

Who is liable for what after the handover

Liability, both criminal and civil, is personal and tied to a period. Former directors and participants are liable for the company's activity during the time they ran and owned it. New participants and the new director are liable for everything from the date the changes are registered in the State Register. That date is the boundary: one set of people before it, another after.

As a general rule an LLC participant is not liable for the company's obligations with personal assets, except for the unpaid part of their contribution. That is why, before the handover, we make sure the share capital is fully paid. All transfer documents with the date stay with you.

For the buyer it works the other way round: together with the company they take on its period before them. That is why we check every company against the registries and show the results in the card, so the buyer knows what they are taking on before their own period begins.

What we need from you

EDRPOU code, constituent documents, information on debts, lawsuits and obligations as they are, a notarised power of attorney to a Yurincom representative (if a participant is abroad or in another region, tell us at once, it can be arranged), share capital paid up before the handover date, bookkeeping up to the handover.

A plus that raises the chance and speed of a sale: financial statements for past years, a current VAT registration, and the "Consent to transfer information to a counterparty" in the State Tax Service e-cabinet.

Frequently asked questions

Can a dormant LLC be sold?

Yes, this is the most common case.

Can an LLC with a cancelled VAT registration be sold?

Yes. In the catalogue such a company is listed with an honest note for the buyer.

How much will I get for the company?

Under the resale handover model, nothing: your benefit is that you do not pay for the exit. If you want to be paid for a company with real turnover, that is discussed separately.

Which is better: liquidate, re-register or hand over?

To close the matter for good - liquidation. Fast - re-registration with cessation. At no service cost - handing over for resale.

How much does re-registration with cessation cost?

It depends on the company. We quote after the free check.

Will my company's name appear on the website?

Not on our website. Until the deal we publish parameters only: year, city, sector, tax status.

Am I liable for what the new owners do?

No. Liability is tied to the period: for everything after the date of the State Register entry, the new participants and the new director are liable.

How long does re-registration take?

Re-registration with cessation, about a week. Handover to a buyer, once one is found; the deal itself takes 1-2 weeks.

What happens to the company after the handover?

It operates under the new owners. For you it ends on the date of the State Register entry.
