This is a working sample of a land plot sale and purchase agreement for residential development. The sample keeps the practical details that matter in this kind of transaction: the parties may act through representatives by power of attorney, and part of the price may already be paid under a preliminary contract with an advance payment.
Before signing, the parties should check the cadastral number, area, intended use, an extract from the State Land Cadastre, the current title document or an extract from the State Register of Rights to Immovable Property, the powers of the representatives, spousal consent if the plot is jointly owned, and valuation documents if the notary or payment calculations require them.
If there are buildings, structures, or an unfinished construction object on the plot, this sample must be adjusted separately. In that case, the legal status of the construction and the transfer of land rights are checked separately.
What to check before signing

Subject of the agreement
1.1. The Seller sells, and the Buyer buys, a land plot with an area of 0.1032 ha, cadastral number [number], located at [address or location description], intended for the construction and maintenance of a residential house, household buildings and structures.
1.2. The Seller's title to this land plot is confirmed by [an extract from the State Register of Rights to Immovable Property / another current title document]. On the date of signing this Agreement, the land plot is not under arrest, mortgage, tax lien, lease, easement, or any other encumbrance, unless expressly stated otherwise in this Agreement.
1.3. The land plot data have been checked against the State Land Cadastre. The plot boundaries are shown on the plan and in the technical documents submitted to the notary.
1.4. The Parties confirm that there are no buildings or structures on the plot. If there are any, their legal status and the transfer of rights are handled separately.
1.5. This Agreement is executed in performance of the preliminary land plot sale and purchase agreement dated [date]. The part of the price paid earlier under the preliminary agreement is credited against the price under this Agreement.

Price and payment
2.1. The price of the land plot is UAH [amount].
2.2. The remaining amount is paid by the Buyer within the time and in the manner agreed by the Parties, taking into account the law and the documents confirming the payment.
2.3. After the payment is completed, the Parties confirm that they have no mutual claims regarding the price of the land plot or the payment procedure.

Transfer of ownership
3.1. Ownership of the land plot arises for the Buyer from the moment of state registration of that right.
3.2. After notarization of this Agreement, the documents are submitted for state registration of ownership in the manner established by law.

Statements and warranties
4.1. The Seller warrants that the land plot has not been sold to anyone else before signing this Agreement, is not in dispute, is not pledged or otherwise encumbered, is not burdened by third-party rights, has not been contributed to the authorized capital of any business entity, and that the documents submitted correspond to the register data.
4.2. The Seller confirms that spousal consent for the alienation of the land plot has been provided in cases where the law requires it.
4.3. The representatives of the Parties confirm that their powers are sufficient to enter into this Agreement, sign the documents, and submit them for state registration.
4.4. The Parties confirm that they act voluntarily and understand the content of this Agreement and its legal consequences.

Costs and taxes
5.1. The costs of notarization of this Agreement, state registration of ownership, and other related payments are borne by the Parties in accordance with the law and their arrangement.
5.2. Taxes and fees are paid in accordance with the current legislation of Ukraine on the date of notarization of the Agreement.

Final provisions
6.1. This Agreement is made in three originals, each having equal legal force.
6.2. The notary has verified the identity of the Parties, their legal capacity, the powers of the representatives, and the Seller's title to the land plot.
6.3. The Parties confirm that the text of this Agreement is clear to them and that they have no objections to it.
